1. Agreement to Terms

By accessing or using Chekket's website and mobile applications, including the FastpitchAI app (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Chekket ("Company," "we," "us," or "our"). If you do not agree to these Terms, you may not access or use the Services.

2. Alpha Release Disclaimer

"AS IS" BASIS: Chekket is currently in an Alpha/Early Access phase. The Services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, secure, error-free, or that results obtained from the Services will be accurate or reliable.

During the Alpha phase, features may change, be removed, or become unavailable without notice. Data collected during the Alpha may not be preserved when the product transitions to general availability.

3. Eligibility

You must be at least 13 years of age to use the Services. If you are between the ages of 13 and 18, you may only use the Services with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. If you are under 13, a parent or legal guardian must create and manage the account on your behalf in compliance with the Children's Online Privacy Protection Act (COPPA).

4. Safety and Health Warning

IMPORTANT: Chekket provides AI-powered sports biomechanics analysis using computer vision. You acknowledge and agree that:

  • Sports and physical activities carry inherent risks of injury.
  • Our analysis is generated by AI algorithms and may contain errors or inaccuracies.
  • The Services are NOT a substitute for professional coaching, medical advice, physical therapy, or athletic training from a certified professional.
  • You should always consult with a qualified coach, trainer, or medical professional before attempting to modify your biomechanics or training based on AI-generated data.
  • You use any insights, metrics, or recommendations from the Services at your own risk.

5. User Accounts

When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Maintain the security and confidentiality of your login credentials.
  • Accept responsibility for all activities that occur under your account.
  • Notify us immediately at info@chekket.com if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, or if you violate these Terms.

6. Acceptable Use

You agree not to use the Services to:

  • Upload content that you do not have the right to share, including videos of individuals who have not consented to being recorded or analyzed.
  • Upload content that is illegal, obscene, threatening, defamatory, or that violates any third party's intellectual property or privacy rights.
  • Attempt to reverse-engineer, decompile, or extract the source code of our computer vision models, algorithms, or AI systems.
  • Use automated tools to scrape, crawl, or extract data from the Services.
  • Interfere with, disrupt, or compromise the integrity or performance of the Services.
  • Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law.

7. Video Content and User Data

When you upload or record video through the Services:

  • Your Content: You retain all ownership rights to the video content you upload. By uploading content, you grant us a limited, non-exclusive license to process, analyze, and store the content solely for the purpose of providing the Services to you.
  • Consent for Subjects: You represent and warrant that you have obtained consent from all individuals appearing in any video you upload for biomechanical analysis. For minors, consent must be obtained from a parent or legal guardian.
  • Derived Data: The biomechanical data, metrics, and analytics generated from your videos by our AI systems are "Derived Data." We may use anonymized and aggregated Derived Data to improve our AI models and Services.
  • Deletion: You may request deletion of your videos and associated data at any time. See our Privacy Policy for details.

8. Intellectual Property

The Services and their original content, features, functionality, design, computer vision models, algorithms, and training methodologies are and will remain the exclusive property of Chekket and its licensors. Our intellectual property is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our technology, unless applicable law gives you that right despite this limitation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEKKET, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, data, or business opportunities.
  • Personal injury or physical damage resulting from your use of the Services or reliance on biomechanical analysis provided.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any interruption or cessation of the Services.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Chekket from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of any third party's rights, including privacy or intellectual property rights.
  • Any content you upload, including video content of other individuals.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. You may request a copy of your data before termination by contacting us. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services will be resolved in the applicable courts.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect, either by posting the update prominently or by sending you an email notification. What constitutes a material change will be determined at our sole discretion. Your continued use of the Services after revised Terms take effect constitutes your acceptance of the changes.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
